PRESIDENT'S MESSAGE

Dear Members,
Happy New Year to you all and I hope you had a relaxing Christmas and New Year break. I’m sure you are all enjoying this lovely cool weather as much as I am. I would like to extend my very best wishes to you all for a happy and successful 2011.
We have a few new faces on the committee this year and are looking forward to them bringing fresh ideas and perspectives to the team. We held our first planning meeting at the beginning of December and now have roles allocated.

We are also pleased to have Karlene Davis as the Embassy and NZTE representative and Julie Littlejohn as our Executive Director. In December we launched our Eastern Seaboard representative office in Pattaya in conjunction with Richard Prouse and the Sutlet Group at the Amari Hotel. Many thanks to all of you who attended and we look forward to additional events in the Pattaya area so that we can more actively engage our Eastern Seaboard Members. Last year we held a joint Corporate Knight networking event with the Canadian Chamber. It proved to be a very popular evening with an opportunity to mingle with some new faces. Based on this success, we aim to have more joint events with a variety of Chambers.
Since this year the Rugby World cup will be hosted by New Zealand, we have formed a team, lead by David O’Callaghan, which will be working on plans for a variety of events leading up[ to and during it. If any of you would like to join the team or has some ideas for events, please contact David; he will be pleased to talk to you.
In 2010 we completed some of our community projects, whilst others are still in progress. We look forward to continuing with our community work with Lisa at the helm. Also in 2010 we initiated a joint SME group with the BCCT and AustCham. The initial breakfast meeting was a great success unfortunately the red shirt demonstrations in April and May disrupted further plans. We are look forward to resuming this in 2011, starting with a luncheon on the topic of recruitment, training and retention planned for 10th February.
The year has got off to a very busy start with several events in a short period starting with the Tri-Chmabers BBQ on 19th January at the Sukhothai hotel held in conjunction with the South African and Australian Chambers. Many thanks to the NZTCC sponsor for this event, Bangkok Bank.
Our first Corporate Knight networking evening for 2011 is on Thursday 27th January at the Sheraton Grande and we are grateful to the Sheraton for sponsoring this event. The Sheraton has supported the Chamber for many years now and we very much appreciate it.
I would like to remind everyone of the up-coming NZI Black & White Ball which is being held on Saturday 5th February. Tickets are selling quickly so if you don’t have one yet you had better hurry. Further details are in this newsletter.

New Zealand Wins Pavlova War!
The war for the pavlova has been won.
A new listing in the Oxford English Dictionary says the meringue-based dessert was invented in New Zealand.
Australia has long tried to claim it created the Kiwi treat, named after the Russian ballerina Anna Pavlova who visited the Antipodes in the 1920s.
That claim has now been debunked after the Oxford yesterday relaunched its online edition, saying the first recorded pavlova recipe appeared in New Zealand in 1927.
The recipe was in a book called Davis Dainty Dishes, published by the Davis Gelatine company, and it was a multi-coloured jelly dish.
NZ Technology Company partners with Cambridge University
After searching the world, Cambridge ESOL, a division of Cambridge University, has chosen a New Zealand technology company as its partner to take English language online and blended courses to market.
Vital English, a joint venture between Auckland e-learning company Intuto and Waikato Institute of Technology (Wintec), joins a prestigious and growing list of local companies exporting technology.

NEW REGIONAL OPERATING HQ LEGISLATION

The long awaited legislation regarding the revised conditions and benefits for Regional Operating Headquarters (ROH) was finally published in the Royal Gazette on November 8, 2010 and is now law. Companies can choose whether to register under the previous regime for ROH’s or the new regime described below.
An ROH is a company established under Thai law to provide management, technical or support services to its associated enterprises or branches located within or outside Thailand. To qualify as an ROH the company must have fully paid-up registered capital of at least Baht 10,000,000 and must provide services to affiliated companies located in at least three different countries. Under the new regulations the ROH must provide services to an affiliate in one country in the first year, two countries within three years and three countries within five years.
A company is “affiliated” with the ROH through shareholding if either entity holds at least 25% of the equity of the other or if there is a common shareholder which holds at least 25% of the equity of both entities. A company is affiliated with the ROH through control if either entity has voting control of the other or if if a third party controls the voting of both entities.
The new regulations have abolished the previous requirement that at least 50% of the income of the ROH be generated from services rendered to affiliated companies to be eligible for the reduced corporate income tax rate. Under the new regulations revenues from qualified services are subject to 0% corporate income tax if rendered to an affiliate outside of Thailand and 10% if rendered to an affiliate inside Thailand. Other income of the ROH will be taxed at the normal rate of 30%.
The ROH will be eligible for these reduced corporate income tax rates for ten years provided that it fulfills the following conditions:
-
minimum expenditures of 15,000,000 THB per fiscal year or capital expenditure within Thailand of at least 30,000,000 THB in a fiscal year (excluding investment in securities)
-
maintains a physical presence and operates a real business in Thailand;
-
services affiliates in at least three counties within five years and meets the requirements for employment of experts and employees as notified by the Revenue Department;
-
applies to the Revenue Department for registration as a ROH within 5 years from November 15, 2010; and
-
by the end of the third year at least 75% of the employees have graduated from secondary school, primary vocational institute or equivalent and at least 5 people have an average annual salary of Baht 2,500,000.
If in addition to meeting the requirements above, the ROH generates more than 50% of its income from qualifying services charged to foreign entities it will also be entitled to the following benefits:
-
corporate income tax and withholding tax exemption on dividends received from and paid to foreign affiliates for 10 years;
-
a reduction of corporate income tax on the interest on loans from 30% to 10% for 10 years;
-
reduction of corporate income tax on royalties from 30% to 10% for 10 years;
-
a reduction of personal income tax for high level management expatriate employees working in Thailand from a progressive tax rate to a flat rate of 15% for 8 years; and
-
an exemption from personal income tax for high level management expatriate employees working overseas.
Few companies will be eligible to register as ROH’s but those which are will be entitled to substantial incentives.

NEW ZEALAND A 2011 'MUST-GO-TO'
After being named third-best country to live in, now New Zealand's second only to New York as the place to be in 2011.
Kiwis headed overseas next year might want to unpack their bags now that New Zealand is No 2 on CNN's list of top destinations – ahead of the Peruvian Amazon, Japan and Barcelona.
Compiled by travel experts – including Lonely Planet's US editor, Robert Reid – the list cites "fantastically luxurious lodges" and the Rugby World Cup as two reasons New Zealand is a must-go-to in 2011.
The cup was "a great springboard" for tourists to see the country, Reid said. He was "determined to learn the haka" here.
New Zealand was ranked third-best country to live in in this year's United Nations Human Development Report.

NZTCC Spreads its ESB Wings

December the 9th 2010 saw another 2010 first for the NZTCC with a business networking evening on the Eastern Seaboard to capitalise on the fact we have members with strong business presence in the ESB
The event was organised in conjunction with The Sutlet Group and Paulanar Gardens (both newly established in Pattaya) & the support of the Amari-Orchid .
Being just before Xmas the event area was set up with a truly festive scheme complete with live music and egg-nog!
It was well attended with close to 50 people and included some new faces ranging from Jockeys to Bank Managers and Accountants to well travelled Authors.
